Terms and Conditions for Firewood Dealers

1. The Role of CTFD LLC

CTFD LLC (“the Company”) operates solely as an online intermediary marketplace. The Company is not a firewood harvester, dealer, or delivery service. Our platform facilitates the connection between independent firewood dealers (“Dealers”) and customers (“Burners”). All transactions and deliveries are contracts made directly between the Dealer and the Customer.

2. Dealer Representations and Warranties

By using this platform, Dealers represent and warrant that:

  • They are properly licensed to conduct business in the State of Connecticut.

  • They comply with all CT Department of Agriculture and DEEP regulations regarding the transport of firewood (including quarantine and heat-treatment requirements).

  • They maintain active general liability and workers’ compensation insurance as required by CT law.

  • They will carry valid identification during deliveries that matches their CTFD LLC profile.

3. Exclusivity and Competitive Pricing

  • Exclusive Supplier Agreement: To maintain the integrity of the leads generated by our annual advertising spend, Dealers agree to remain exclusive to CTFD LLC. This exclusivity applies to third-party lead-generation sites or marketplaces. It does not apply to the Dealer’s own proprietary company website.

  • Price Parity: Dealers agree that prices listed on CTFD LLC will not exceed the price offered via telephone or the Dealer’s own website, plus the applicable CTFD LLC commission.

  • Re-entry Period: Dealers who voluntarily leave the platform are subject to a six-month waiting period before they are eligible to re-apply.

4. Fees and Payments

  • Commission Fee: A flat fee of $20.00 is due for every order received.

  • Cancellations: If a Dealer is unable to fulfill an order, they must notify CTFD LLC within seven (7) days to avoid the $20.00 fee.

  • Invoicing: All invoices are sent via email and are payable upon receipt. Accounts overdue by more than 30 days may be subject to collection actions and platform suspension.

  • Overpayments: If a customer overpays at the time of delivery (e.g., cash transactions), the Dealer is legally obligated to return the excess funds to the customer immediately.

5. Delivery and Customer Interaction

  • Logistics: Dealers are solely responsible for scheduling and confirming deliveries with the customer. The Company does not guarantee customer availability for cash-on-delivery (COD) orders.

  • Promotion Restrictions: Dealers may not offer “off-platform” discounts, refer-a-friend codes, or price-matching schemes designed to circumvent CTFD LLC’s commission structure for future orders.

6. Limitation of Liability and Indemnification

To the fullest extent permitted by Connecticut law:

  • No Liability: CTFD LLC is not liable for errors in pricing, delivery delays, property damage (e.g., driveways, lawns), or issues arising from the use of the wood (e.g., chimney fires, pests, or heating system malfunctions).

  • Indemnification: Dealers agree to indemnify, defend, and hold harmless CTFD LLC from any claims, damages, or legal fees arising from the Dealer’s products, delivery conduct, or breach of these Terms.

  • Technical Failures: The Company is not responsible for platform downtime, software bugs, or lost data.

7. Termination and “Unscrupulous Conduct”

CTFD LLC reserves the right to terminate a Dealer’s access at its sole discretion.

  • Circumvention: Any attempt to divert customers away from the platform (e.g., leaving stickers or flyers encouraging customers to “bypass” the site for a discount) will result in immediate removal.

  • Notice of Removal: If a Dealer is removed for “unscrupulous business practices”—including fraud, safety violations, or intentional circumvention—the Company reserves the right to notify customers previously served by that Dealer to protect the marketplace’s reputation.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Connecticut.

9. Modifications

CTFD LLC reserves the right to modify these terms at any time. Continued use of the platform following any changes constitutes acceptance of the new Terms.
